PROFESSIONAL PROFILE
Nancy is a senior-level business attorney skilled at working with fast-paced complex organizations to achieve strategic objectives, minimize risks and cost effectively manage the legal function. She offers clients a strong combination of global business experience, outstanding academic credentials and a proven record for delivering superior results. Nancy joined The General Counsel, Ltd. in 1990, after eleven years of extensive experience in Houston, Texas.
Her business practice focuses in the areas of labor and employment, commercial transactions, real estate acquisitions, divestitures, "partnering" agreements, unfair competition, protection of trade secrets and ethical compliance. In the area of employment law, she develops proactive personnel policies, training materials and handles all aspects of employment from hiring and wrongful discharge to charges of sexual harassment. Nancy is experienced in all aspects of litigation, from investigation and pleadings through discovery, trials, and appeals in both state and federal courts. A Supreme Court certified Mediator and Arbitrator, Nancy advocates preventive law, alternative dispute resolution techniques, internal grievance mechanisms, arbitration and moderated settlements.
Prior to joining The General Counsel, Ltd., Nancy was Director of Legal Affairs and Corporate Secretary for Continental-Eastern Sales, Inc., a joint venture between Continental Airlines, Inc. and Eastern Air Lines, Inc. located in Houston, Texas. She provided advice to the Board of Directors, CEO and CFO and participated in strategic planning as well as the executive and operating committees. In this role, she was responsible for labor and employment matters, including strike contingency planning, workforce reductions, transfers, job reclassifications and defense of both discrimination and wrongful termination claims. She also provided legal advice and counsel relative to a broad range of corporate and commercial matters, including the development and implementation of special sales incentives programs and the negotiation and drafting of major contracts and leases. Her responsibilities also included the management of complex commercial litigation and representation in hearings before various regulatory commissions and boards.
Prior to Continental, Nancy served as corporate counsel to a number of companies in the energy industry. She was involved in commercial transactions, including purchasing, marketing, and transportation agreements, joint ventures, acquisitions, confidentiality agreements, joint development agreements, and licenses. In this capacity, she managed complex litigation and legal proceedings (including class actions, bankruptcies, and litigation relative to securities, commercial disputes, and employment and labor law). She developed an International Patent Protection Plan and corporate Trade Secret Program, and managed the registration of trademarks and service marks.
