PROFESSIONAL PROFILE
Mr. Carlson has experience as a partner in an established law firm,
as in-house counsel, and as an attorney for state government. He
joined the General Counsel, Ltd. in 1992.
From 1986 to 1992, Mr. Carlson was a partner with
the law firm of Holmes & Graven, Chartered, in Minneapolis.
During that time he represented a variety of corporations and provided
advice and counsel in the area of general corporate law, including
mergers and acquisitions, securities, contracts, intellectual property
and licensing, corporate secretarial, and employee benefits and
employment law. In addition, he was involved with the formation
and start-up of a number of new businesses, providing them with
varied assistance, including incorporation, financing, shareholder
agreements, employment contracts, franchise agreements, and licensing
agreements.
From 1984 to 1986, he was Assistant General Counsel
of Apache Corporation, a publicly traded company then headquartered
in Minneapolis. He was responsible for Apache's general corporate
matters, including acquisitions, financing, employment matters,
licensing, litigation management, review of corporate secretarial
function, and the management of outside attorneys. During this time
he developed a computerized system to monitor and control outside
legal costs and also developed a standardized billing policy for
Apache's outside attorneys. Both led to lower costs and better management
of the outside counsel relationships. He was involved in several
acquisitions, totaling $700,000,000, including the negotiations,
drafting of documents, financing, due diligence and integration
of the purchased assets into Apache.
In 1978, Mr. Carlson joined Loram Maintenance of Way,
Inc. as General Counsel and Corporate Secretary. Loram is a manufacturer
and lessor of railroad maintenance equipment, located in Hamel,
Minnesota. As Loram's first corporate attorney, he was involved
in product liability reviews, reviewing and purchasing insurance
coverages, patent and trademark matters, developing a safety program,
managing outside general and intellectual property counsel, negotiating
and documenting an international joint venture, corporate secretarial
activities, and many other corporate transactions. Specifically,
his work in the product liability area led to substantial decreases
in Loram's accident record and insurance premiums. He also established
a retrospective insurance program, which led to substantial savings
for Loram. He also did work for the company in several nonlegal
areas, including marketing and administration.
Mr. Carlson also spent five years with the Minnesota
Attorney General's Office, specializing in business regulation,
employment matters and litigation. He was initially assigned to
the Solicitor General's office, where he prepared appellate briefs
and represented several state agencies. He then spent two years
assigned to the Personnel Department where he was involved in a
broad range of employment matters, including representing the state
in collective bargaining negotiations. He then represented the Securities
Division of the Commerce Department, where he was involved in the
registration of securities and franchises and also in the licensing
of securities dealers and real estate brokers.
