PROFESSIONAL PROFILE
Ms.
Hall has practiced law with The General Counsel, Ltd. since 1991.
She began her legal career in the business department of Robins,
Davis & Lyons (now Robins, Kaplan, Miller & Ciresi). In
1981, she was part of a group of attorneys from the Robins business
department who joined with a number of other attorneys from major
law firms and formed Halpern & Druck. This new firm specialized
in the areas of securities, finance, commercial real estate development,
and business. Halpern & Druck subsequently merged with the law
firm of Popham, Haik, Schnobrich & Kaufman.
While in partnership at Halpern and Druck, Ms. Hall concentrated
on business and commercial matters. As legal counsel and business
advisor to various local and national companies, she handled mergers
and acquisitions of privately-held companies (including attendant
real estate transfers), financial workouts, negotiation of debt
reduction and payment plans with major lenders and creditors, leasing
of equipment and real estate, licensing and distribution arrangements,
agreements among equity participants as well as the negotiation
and drafting of virtually every other type of agreement to which
a privately-held company is customarily a party.
In 1989, Ms. Hall became corporate counsel to the University
of Minnesota. At the University, she aggressively practiced "preventive
law" through the training and education of administration personnel
and the revision and creation of new form agreements for the protection
of the University's interests. The area of Ms. Hall's practice remained
consistent with her previous experience, with the addition of a
new emphasis on intellectual property licensing, purchasing, and
government work. She also represented the Athletic Department on
a broad range of matters, including the negotiation and drafting
of radio and television broadcasting agreements, executive employment
agreements with coaches and administrators, and sponsorship agreements
with supporting corporations. At the University she balanced a decision-making
process, which must weigh the bottom line against sometimes competing
public policy, all while under public scrutiny.
Since joining The General Counsel, Ltd. Ms. Hall has worked
with a number of different clients on long-term assignments. In
the real estate area, she handled all of the leasing for a major
developer and landlord that holds retail, office and office/warehouse
properties throughout the country.
For another client she managed the integration of hundreds
of owned and leased properties that had been acquired in a series
of acquisitions and mergers.
Similarly, she was responsible for the time sensitive
transfer of thousands of contracts when one of her clients spun
off a portion of its business.
Ms. Hall has also negotiated and documented technology acquisitions
and joint ventures for several large Twin Cities companies.
Most recently she handled the negotiation and implementation
of strategic alliances and agency relationships for an international
financial services company.
